Terms of use and purchase

1. What this document covers

These terms govern the use and purchase of PRIETO One, a service provided by Prieto Global Innovation Ventures OÜ (Estonia, European Union).

By creating an account you accept these terms. If you're signing up on behalf of a company, you confirm you can bind it.

2. Who can sign up

You can sign up if you're of legal age and carry out an economic activity — as a freelancer, professional or company — in one of the countries where the service is available.

In Spain, signing up is open by invitation only for as long as the current phase lasts: you need a code that we provide.

We reserve the right not to open or to close an account when the business can't be verified, when the activity doesn't fit the service, or when there are signs of fraud.

3. Your account

The details you give us must be true and up to date, especially the tax ones: they're what appears on your invoices.

You're responsible for what happens with your credentials. Two-factor authentication is mandatory; we don't turn it off on request.

Tell us as soon as you suspect someone has got into your account.

4. What you're signing up for

PRIETO One is made up of tools you switch on separately. You take the ones you want and can change them whenever it suits you.

Some tools are listed as in development. They're not included until they launch, and announcing them is no commitment to a date.

5. What it costs

Each tool costs €9 a month. The full suite costs €49 a month and includes them all, including any launched while your subscription is active.

You'll never pay more than €49 a month. If the tools you pick add up to more than that, we move you to the full suite automatically and you pay €49.

If you pay a full year upfront, a 20% discount applies.

The prices shown are what a consumer pays, with taxes included. If you sign up as a company with a valid intra-EU VAT number, you're invoiced without VAT under the reverse charge.

6. How and when you're charged

Payment is by card, taken through our payment provider. Your card details don't pass through our servers and we don't store them.

If a payment fails, we retry it for a few days and let you know. If it still can't be collected, we may suspend access until it's sorted.

7. Refunds

You have 14 days from sign-up to ask for your money back, with no need to explain why. Write to us at hola@prieto.one and we'll take care of it.

The amount goes back to the same card you paid with and we issue a credit note. Depending on your bank, it may take a few days to show up.

After those 14 days there's no refund, but you can cancel whenever you like so it doesn't renew.

8. Cancelling

There's no lock-in and no penalty. You cancel from your dashboard, with no calls and no explanations.

When you cancel you carry on using the service until the period you've already paid for ends. After that it doesn't renew.

Your data stays yours: you can export it whenever you like, including after cancelling, within the period set out in the privacy policy.

9. What you can't do with the service

By using PRIETO One you agree not to:

We run regular checks and may ask you to evidence your business licence. Breaching this may mean immediate suspension.

10. Your customers' data

When you store data about your own customers in PRIETO One — their appointments, their phone numbers, their history — that data remain your responsibility. We process it solely on your behalf and following your instructions, as a data processor.

The terms of that processing arrangement, with everything Article 28 of the General Data Protection Regulation requires, are in the privacy policy and form part of this contract.

You take care of informing your customers and having a legal basis to process their data. We take care of the platform's security.

11. Availability and support

We work to keep the service continuously available, but we can't guarantee there'll be no interruptions. When we have to stop for maintenance, we'll try to give notice and do it at quiet hours.

Support is provided by email, during business hours.

12. Who owns what

The software, the design and the brand are ours. Signing up gives you the right to use the service while the subscription is active, not to keep it.

What you upload — your text, your photos, your data — is yours. We don't use it for anything other than providing you the service, and we certainly don't sell it or pass it on.

13. Liability

We're liable for damage we cause by breaching these terms, capped at what you've paid over the previous twelve months.

We're not liable for loss of profit or indirect damage, nor for what results from misuse of the service or from failures by third parties outside our control.

None of this limits liability that can't be limited by law, nor your rights as a consumer if you're signing up in that capacity.

14. Changes to these terms

We may amend these terms to reflect changes in the law or in the service. If a change affects you materially, we'll let you know by email at least 30 days in advance.

If you don't agree, you can cancel before they take effect at no cost.

The price of an active subscription doesn't go up during the period you've already paid for.

15. Governing law and complaints

Estonian law and the corresponding European rules apply.

If you're signing up as a consumer, you keep the protection of your country's mandatory rules and can bring a claim in the courts where you live. The European Commission also offers an online dispute resolution platform.
